1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of novalentconsulting.com (the "Site"). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
2. About us
The Site is operated by Novalent LLC, doing business as Novalent Consulting ("Novalent," "we," "us," or "our"), a Wyoming limited liability company with its business address at 5830 E 2nd St, Ste 7000, Casper, WY 82609, United States.
3. Use of the Site
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that violates applicable laws or regulations;
- Attempt to gain unauthorized access to the Site, its servers, or related systems;
- Introduce viruses, malware, or other harmful code;
- Use automated means to scrape, copy, or collect content from the Site without our permission; or
- Submit false, misleading, or unlawful information through our contact form.
4. No professional advice
Content on the Site is provided for general informational purposes only. It does not constitute legal, tax, accounting, investment, or other professional advice, and should not be relied upon as such. Our consulting services are business advisory services; we do not provide legal, audit, tax preparation, or regulated investment advisory services.
Using the Site or contacting us does not create a consultant-client relationship. That relationship begins only when both parties sign a written proposal or engagement agreement.
5. Consulting engagements
Each consulting engagement is governed by a separate written proposal, statement of work, or engagement agreement (an "Engagement Agreement") that sets out the scope, deliverables, timeline, and fees. If there is any conflict between these Terms and an Engagement Agreement, the Engagement Agreement will prevail.
Our recommendations are based on the information available to us and on our professional judgment. Business outcomes depend on many factors outside our control, including how recommendations are implemented, so we do not guarantee specific results.
6. Fees, cancellations & refunds
Fees, payment schedules, and accepted payment methods are set out in each Engagement Agreement. Unless your Engagement Agreement states otherwise:
- Payment: invoices are payable within 14 days of the invoice date. Project fees may be invoiced in installments tied to milestones, and advisory retainers are invoiced monthly in advance.
- Cancellation: either party may end an engagement by giving 14 days' written notice. Advisory retainers may be cancelled at any time, effective at the end of the current billing month.
- Refunds: you remain responsible for fees for work performed up to the effective date of cancellation. Any prepaid fees for work not yet performed will be refunded within 30 days of cancellation, less any non-refundable third-party costs incurred on your behalf with your approval.
- Disputes: if you have a concern about an invoice or the quality of our work, please contact us within 30 days at contact@novalentconsulting.com. We will work with you in good faith to resolve it.
7. Intellectual property
The Site and its content, including text, graphics, logos, the Novalent name and star mark, and page design, are owned by Novalent LLC or its licensors and are protected by intellectual property laws. You may view and print pages for your personal, non-commercial use. Any other use requires our prior written consent.
Ownership of and rights to deliverables created during a consulting engagement are set out in the applicable Engagement Agreement.
8. Confidentiality
We treat information submitted through the Site in accordance with our Privacy Policy. Information shared during an engagement is protected by the confidentiality terms of your Engagement Agreement and any non-disclosure agreement between us. Please do not submit highly sensitive or confidential information through the contact form before an NDA is in place.
9. Third-party links and services
The Site may contain links to, or embed content from, third-party websites and services (such as Google Maps). We do not control and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.
10. Disclaimer of warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
11. Limitation of liability
To the fullest extent permitted by law, Novalent and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100). Liability relating to consulting services is governed by the applicable Engagement Agreement.
12. Indemnification
You agree to indemnify and hold harmless Novalent and its members, employees, and contractors from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or your violation of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Natrona County, Wyoming, and you consent to the jurisdiction of those courts.
14. Changes to these terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of the Site after changes are posted means you accept the updated Terms.
